Reminder: PA Department of State Annual Report Filing Deadline for LLCs is September 30

On November 3, 2022, Governor Wolf signed into law Act 122 of 2022. Among the many changes made by this legislation, Act 122 created an annual report requirement (like that imposed by most states) for domestic and foreign filing associations.

Starting in 2025, most Pennsylvania businesses are required to file an Annual Report with the Pennsylvania Department of State. The key aspects of this new requirement are as follows:

  • Filing is mandatory for domestic and foreign entities registered to do business in Pennsylvania
  • Deadlines vary by entity type
    • Corporations and nonprofits were due on June 30
    • LLCs are due by September 30
    • Other entities (including partnerships) are due by December 31
  • The filing fee is $7 for most for-profit entities—and $0 for non-profits
  • Online filing is recommended
  • Noncompliance could result in administrative dissolution or loss of good standing

There is a grace period for the first two years of this requirement. For reports due in 2025 and 2026, the Department will not impose any dissolution/termination/cancellation actions for failure to file annual reports.
